Overview:

Where there is growth there is opportunity. Reporting to the Chief Legal, People & Corporate Affairs Officer, External Affairs Division for Pembina Pipeline Corporation, this individual will lead Pembina’s Legal Services Unit (LSU) and teams. 

 

The Vice President, General Counsel (VP, GC) is a senior enterprise leader who plays a critical role in shaping Pembina’s long‑term success by integrating legal strategy with enterprise leadership, talent capability, and sound judgment. As a member of the Executive Committee, the VP, GC works closely with the Board of Directors, Officers, and business leaders to provide pragmatic, well‑considered counsel that enables growth, protects value, and supports sustainable outcomes. Beyond legal oversight, the role is focused on building future‑ready capability—contributing to leadership development and succession planning, strengthening enterprise governance, and ensuring legal talent and expertise are embedded across the organization to support Pembina’s strategy today and into the future.



In this role, the VP, GC sets the tone for how legal and enterprise leaders work together—encouraging open dialogue, shared accountability, and cross‑functional collaboration in service of better outcomes. By fostering a culture of continuous improvement and psychological safety, the VP, GC enables teams to speak up, challenge assumptions, learn from experience, and adapt with confidence as the organization evolves.

Responsibilities may include but not limited to:

Enterprise Stewardship & Value Creation

  • Provide enterprise and legal stewardship for Pembina, facilitating commerce and preserving shareholder value across the enterprise, including joint ventures; and
  •  Bring an enterprise mindset that balances commercial performance, financial guardrails, and long‑term sustainability across gas processing, transportation, and NGL value chains.

 

Strategic Legal & Commercial Counsel

  • Provide enterprise‑level legal counsel across governance, litigation, regulatory, securities, M&A, competition law, compliance, and complex commercial matters; and
  • Draw on experience in gas processing, transportation, NGL marketing, commercial litigation, and U.S. and Canadian rate‑regulated commerce to enable strong commercial outcomes across midstream and marketing businesses.

  • Decision Enablement & Strategic Judgment
    Advise Officers and the Board of Directors on the legal implications of strategic initiatives, capital investments, and commercial arrangements, including gas processing, transportation, and NGL marketing activities; and
  • Frame trade‑offs, synthesize complexity, and enable timely, well‑informed strategic and operational decisions that advance enterprise priorities.

 

Disclosure, Transparency & Investor Confidence

  • In partnership with the Officer team, ensure full, true, and plain disclosure and compliance with regulatory reporting requirements; and
  • Maintain effective relationships with shareholders, proxy advisory firms, and investor advocacy groups, reinforcing confidence in Pembina’s governance and performance.

 

Enterprise Strategy & Stakeholder Leadership

  • Contribute to the development and execution of corporate strategy and act as a key interface with the Board of Directors and internal and external stakeholders, including serving as a credible enterprise spokesperson on matters impacting Pembina’s integrated midstream and marketing platform.

 

Transactions, Growth & Integration

  • Provide strategic leadership on acquisitions and growth initiatives, supporting transaction structuring, negotiation, regulatory approval, and integration; and
  • Enable execution across regulated and commercially complex environments while aligning stakeholders to enterprise objectives.

 

Enterprise Talent & Capability Building

  • Lead and develop the Legal Services Unit, building bench strength and succession while fostering a culture of collaboration, continuous improvement, and psychological safety; and
  • Models inclusive leadership, encourages learning and candour, and develops future‑ready legal and enterprise leaders.

 

Legal Strategy & Enterprise Integration

  • Develop and execute a medium‑ and long‑term legal strategy aligned with Pembina’s operating model, ensuring legal capability is practical, scalable, and embedded across the enterprise, particularly within regulated and commercially complex operations.

 

Enterprise Mindset & BigPicture Leadership

  • Brings an enterprise VP perspective—seeing the big picture, translating strategy into actionable plans, enabling alignment across functions, and strengthening organizational capability, resilience, and long‑term value creation.

Qualifications:

Senior Legal & Commercial Leadership Experience

  • 15+ years of post‑call experience, including significant leadership experience within complex, regulated organizations;
  • Experience as in‑house counsel in a publicly traded company—ideally within energy or energy infrastructure—is strongly preferred, along with exposure to commercial or operational leadership roles; and
  • Law Degree and Professional Standing Bachelor of Laws (LL.B.) or Juris Doctor (J.D.), with active membership in good standing with the Law Society of Alberta.

Demonstrated ability to engage and lead across a broad and complex stakeholder environment, including Boards of Directors, executive teams, investors, regulators, customers, partners, and employees, with credibility at the most senior levels.

 

Influence, Alignment & Change Leadership

  • Proven track record of building trust, gaining alignment, and securing buy‑in for complex initiatives by effectively navigating competing interests and leveraging strong, senior‑level relationships; and
  • Brings strong executive presence, adaptive leadership, and clear communication to enable innovation, develop talent, and translate strategy into sustained growth and enterprise performance.

 

The successful candidate must be legally able to work in the country of the position. The final candidate will be required to undergo Pre-Employment Background Checks including a Criminal Record Check.
